IMPORTANT NOTICE: THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AND A WAIVER OF CLASS ACTION RIGHTS AS DETAILED IN SECTION 13. By using the AmericanSitters.com website, mobile application, and services (collectively, the "Site" and the "Services"), you agree to all terms and conditions in this Terms of Use agreement (the "Terms" or "Agreement"), regardless of whether you register as a user. These Terms incorporate by reference the AmericanSitters.com Privacy Policy, which we urge you to read. If you do not agree with any part of these Terms or the Privacy Policy, do not use the Site or Services. We may change these Terms from time to time. In the event of material changes, we will notify you by email or by posting a prominent notice on our Site, and the changes will be effective no sooner than 30 days after such notice. Non-material changes take effect immediately upon posting on our Site. You should check the Terms periodically for updates, and your continued use of the Site after changes become effective constitutes acceptance of those changes. These Terms supersede all prior terms or agreements on the subjects addressed.
For purposes of this Agreement, "AmericanSitters.com," "we," or "us" refers to Babysitting Agency Ltd. "Site" means the AmericanSitters.com.com website, any mobile applications, and any other web pages or mobile sites that link to these Terms. "Services" means any of the services provided by AmericanSitters.com through the Site or through other channels (including telephone support).
1. Description of Services; Limitations; User Responsibilities
1.1 About Our Services
AmericanSitters.com offers various Services to help users find, coordinate, and manage quality care for their families. Our Services include, among others:
- providing an online platform where individuals seeking care services (e.g. child care, senior care, special needs care, pet care, tutoring, housekeeping, cooks, private drivers) and care-related businesses (e.g. child care centers, senior caregiver agencies, senior living facilities, cleaning companies) ("Care Seekers") can post job listings, and where individuals who provide care services ("Care Providers") can post profiles, audio or video introductions, documents and certificates, search for and apply to jobs, and communicate with Care Seekers. Care Seekers may also message other Care Seekers to facilitate shared child care arrangements.
- Providing tools and information to help users make informed decisions, such as safety resources and the ability for Care Seekers to request background check reports on Care Providers (with the Care Provider's consent) through third-party consumer reporting agencies.
- Offering a directory of certain care-related service providers (e.g. childcare centers, summer camps, tutoring centers, etc.) which users may contact or request information from.
- For certain users (for example, those who enroll via an employer's benefits program), we may offer additional services through affiliates or third parties, which will be described in separate terms specific to those services.
- Providing an online community forum where registered users can communicate and share information with other users who have common interests.
- Facilitating payments from Care Seekers to Care Providers through a third-party payment processor (such as Stripe, PayPal). These payment services are subject to the third party's terms (e.g. the Stripe Services Agreement) and by using them, you agree to abide by those terms. AmericanSitters.com assumes no liability for payments made through this service, and all such payments are non-refundable.
- Offering eligible Care Providers access to certain benefits from third-party providers (for example, access to health insurance or other benefits).
- Providing features (such as in-app video chat) to facilitate remote interviews between Care Seekers and Care Providers via third-party platforms. If such a feature is offered, it is provided via a third-party technology platform, and you understand that you have no contractual relationship with that third-party; any customer service or support for such features will be provided by AmericanSitters.com.
Our Services will continue to evolve and change over time. Please refer to the Site for the most up-to-date information about the Services we offer.
1.2 Limitations of Our Services
AmericanSitters.com is a venue that enables Care Seekers and Care Providers to connect. We are not a party to any agreements between users. Except where expressly provided in these Terms or required by law, AmericanSitters.com does not itself provide caregiving services and does not employ any Care Providers, and we are not responsible for the conduct (online or offline) of any Care Seeker, Care Provider, or other user of the Site or Services. Care Seekers are solely responsible for compliance with all applicable employment and other laws in connection with any employment or engagement they establish through our platform (including paying wages, complying with minimum wage and overtime laws, tax withholding, payroll, work authorization, providing any required benefits, etc.).
Content or information provided by Care Seekers and Care Providers is primarily user-generated. We do not control, verify, or guarantee the accuracy or completeness of user-generated content, and we expressly disclaim any responsibility for the accuracy or reliability of information provided by Care Providers or Care Seekers on or off the Site. You acknowledge that any screening or background check information that may be available for a user is limited and not guaranteed to be complete, accurate, up-to-date, or conclusive of anyone's suitability as an employer or care provider.
We do not refer or recommend specific Care Providers or Care Seekers, and we make no representations about the suitability, reliability, timeliness, or accuracy of the services provided by Care Providers or about the integrity, responsibility or actions of Care Seekers or Care Providers in any online, offline, public, or private interactions. AmericanSitters.com is not an employment agency and does not procure or secure employment for Care Providers or employees for Care Seekers. We do not direct, supervise, or control the quality, timing, legality, or any other aspect of the services actually provided by Care Providers, and we do not require Care Providers to accept any jobs or make any specific commitment regarding services. We do not provide any medical, diagnostic, therapeutic, or clinical services, or engage in any activities that require a professional license.
We may offer certain verification services (for example, verifying an email address, phone number, or, for business entities, a license number). If we indicate that a piece of information about a user has been verified, it means the user complied with the process we established for verifying that information. However, we do not guarantee that any verified information is accurate or that it actually pertains to the user who provided it. Verification status is not a guarantee of any user's identity or trustworthiness.
Important: Please review the Release of Liability in Section 9 below, which contains important limitations on AmericanSitters.com's liability arising from user conduct and interactions.
1.3 User Responsibilities
You are solely responsible for selecting an appropriate Care Provider or Care Seeker for yourself or your family. This means you are responsible for interviewing, vetting, performing background and reference checks on, and verifying any information provided by any Care Provider or Care Seeker you are considering. AmericanSitters.com does not guarantee that any background check or verification (whether performed by us or a third party) is exhaustive. You should visit our safety resources for tips on hiring and best practices. Each Care Seeker is responsible for complying with all employment and other laws when engaging a Care Provider, including verifying the Care Provider's age and legal ability to work in the United States.
2. Eligibility to Use the Site and Services
By requesting, registering to use, or actually using the Site or Services, you represent and warrant that you have the right and authority to enter into this Agreement, and that you meet all of the following eligibility criteria:
Purpose: You are using the Site and Services solely for the purpose of seeking or managing care services or care-related jobs, or for sharing information relating to care, and for no other commercial or unauthorized purpose.
Age: You are 18 years of age or older. The Services are available only to individuals eighteen (18) years or older. If you are under 18, you may not register for or use the Site or Services.
Residency: You reside legally in the United States or Puerto Rico. The Site and Services are currently only available to legal residents of the U.S. and Puerto Rico.
Work Authorization: If you are registering to be a Care Provider, you are legally permitted to work in the United States or Puerto Rico.
Criminal History: Neither you nor any member of your household has ever been the subject of any: (i) conviction, arrest, charge, complaint, or restraining order involving any felony; any criminal offense involving violence, abuse, neglect, theft, drugs; or any unlawful act that endangers others, involves fraud, dishonesty, or reckless conduct; or (ii) any matter that resulted in your (or your household member's) inclusion on any sex offender registry or child abuse registry. In addition, neither you nor any member of your household is currently required to register as a sex offender with any government entity.
Large Employer Restriction: If you are using the Site as an individual Care Seeker, you have not had 10 or more employees (for each working day in 20 or more calendar weeks in the current or previous calendar year); if you are in California, you have not had 5 or more such employees (this relates to certain legal requirements for larger employers).
Kansas Provider Restriction: If you are a Care Provider offering child care services in the State of Kansas, you are not a licensed day care provider and do not provide your services outside the child's home (Kansas law prohibits licensed daycare providers from offering services outside the child's home through platforms like this).
If you do not meet all of the above criteria, you are not eligible to use AmericanSitters.com and must not register or use the Site or Services. AmericanSitters.com reserves the right to terminate your membership if we discover you are not eligible.
3. Rules for User Conduct and Use of Services
To maintain the integrity and safety of our community, all users must adhere to the following rules and guidelines when accessing or using the Site or Services:
3.1 Registration, Posting, and Content Restrictions
Permitted Use of Content: Any content that you post or transmit through the Site or Services must be solely for the purpose of finding or managing care or care-related jobs, or finding or sharing information related to caregiving, housekeeping, or household errands.
Accuracy of Information: You agree to provide accurate, current, and complete information about yourself as required by the registration process or when posting content. You must register and maintain your account in your own legal name (even if you are seeking care for someone else, such as a family member). Unless expressly permitted by AmericanSitters.com, all content you post must be in English (as the Site and Services are generally not supported in other languages).
Responsibility for Content: You are solely responsible for any content that you post on the Site or transmit to other users. You agree that you will not post or transmit any content that: is defamatory, abusive, obscene, profane, offensive, pornographic or sexually explicit, threatening, harassing, racially or ethnically offensive, or illegal; that infringes or violates another person's rights (including intellectual property rights and rights of privacy or publicity); or that promotes or assists any unlawful act (such as copyright infringement or computer misuse). You will not post any content that falsely implies it is endorsed or originates from AmericanSitters.com when it does not. You will not provide false, misleading, or defamatory information to AmericanSitters.com or any user, and all opinions you express as part of any content must be genuinely held by you. You represent and warrant that you have all necessary rights and permissions to post any information or content you provide about yourself or others (for example, if you post information about a minor, you warrant that you are the minor's parent or guardian or otherwise have permission to post such information).
Monitoring and Removal of Content: You understand and agree that AmericanSitters.com may, in its sole discretion, review and remove or edit any content (in whole or in part) that AmericanSitters.com determines, in its sole judgment, violates these Terms or is offensive, inappropriate, illegal, or that may harm or threaten the safety of users. AmericanSitters.com reserves the right to take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing offending content and terminating the violator's access to the Site or Services.
License Grant for Your Content: By posting or transmitting content and documents through the Site or Services, you grant AmericanSitters.com and its affiliates, licensees, and successors an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license to use, copy, perform, display, reproduce, adapt, modify, and distribute that content and to prepare derivative works of it or incorporate it into other works, and to grant sublicenses of the foregoing. You represent and warrant that the posting and use of your content by AmericanSitters.com will not infringe the rights of any third party.
Legal Compliance: You agree that your use of the Services and all content you post will comply with all applicable laws and regulations.
Feedback: We welcome your feedback and suggestions. However, any ideas, suggestions, or other communications you submit to us (through any channel, including the Site, email, phone, surveys, or social media) shall be and remain the exclusive property of AmericanSitters.com, and we may use or disclose such communications for any purpose without notice or compensation to you.
User Content Disclaimer: Because user-generated content is primarily self-reported and not directly verified by AmericanSitters.com, we do not guarantee the accuracy, completeness, or usefulness of any content posted by users on the Site or provided through the Services, and we expressly disclaim any liability for such user content. You use user-submitted content at your own risk.
3.2 Exclusive Use
You may register for and use only one account, which should be in your real name. You agree that you will not share your account or password with anyone else. If you are a Care Seeker, you agree to use the Site and Services only to find care for yourself or your family or household members (such as your children, parents, grandchildren, or others for whom you are the legal guardian), or for individuals with whom you have an arrangement to share care. If you are a Care Provider, you agree to use the Site and Services only to find and apply to care jobs for yourself. You are responsible for all activity that occurs under your account, and you may not transfer or assign your account to any other person or entity.
3.3 Prohibited Uses
By using the Site or Services, you agree that you will not, under any circumstances:
Misuse the Site/Services: You will not use the Site, Services, or any information obtained through them in any way that is abusive, threatening, obscene, defamatory, libelous, or otherwise objectionable or offensive. You will not use the Site or Services for any fraudulent or unlawful purpose, or for any purpose unrelated to care or caregiving, or for any purpose not expressly permitted by these Terms. You will not harass, abuse, or harm another person or group, or attempt to do so.
Interfere with Others' Accounts: You will not use another user's account without authorization. You will not impersonate any person or entity, or falsify or misrepresent yourself or your affiliation with any person or entity.
Provide False Information: You will not provide false, misleading, or inaccurate information when registering an account, using the Services, or communicating with other users. You will not attempt to re-register with AmericanSitters.com if we have terminated your account, or register a new account to circumvent a suspension or to prevent a review from being associated with your account.
Disrupt the Service: You will not interfere with or disrupt the proper operation of the Site or Services. This includes not engaging in any conduct that in our sole judgment imposes or may impose an unreasonable load on our infrastructure. You agree not to use any automated means (such as scripts, bots, scrapers, or spiders) to access the Site or Services, or to collect information from the Site, without our express written permission. You will not bypass any measures we use to prevent or restrict access to the Service (such as robot exclusion headers) or attempt to gain unauthorized access to any portion of the Site.
No Commercial Solicitation or Competitive Use: You will not use the communication systems provided by the Site (such as messaging or contact info) to solicit, advertise to, or recruit others for any purpose not specifically related to care services facilitated through AmericanSitters.com. For example, you may not use information from our Site to promote or solicit users to join or use a competing service. You also agree not to collect or harvest any personally identifiable information, including names or contact information, from the Site for any commercial purpose. You will not publish or link to malicious content intended to damage or disrupt another user's browser or computer.
Additional Prohibitions: You will not engage in any other activity that violates any applicable law or regulation, or that we deem in our sole discretion to be unacceptable or contrary to the intended purpose of the Site and Services.
To protect our users from spam and other prohibited activities, AmericanSitters.com reserves the right to limit the number of communications (including messages or job applications) that any user may send within a given time period, in our sole discretion.
Enforcement: We reserve the right to take appropriate action if you violate any of these rules. Such action may include immediate termination of your account and access to the Site and Services. If we determine that you have violated Section 3 (Rules for Conduct) or any other provision of these Terms, we may terminate your use of the Site and Services immediately. By using the Site, you agree that AmericanSitters.com may, in its sole discretion, assess and charge you $10,000 for each day that you: (i) maintain information about other users (such as names, addresses, phone numbers, email addresses) or any copyrighted material that you have scraped or harvested from the Site in violation of these Terms; or (ii) otherwise misuse or misappropriate Site content, including by using it on a mirrored, competitive, or third-party site, as liquidated damages (given it would be extremely difficult to quantify the harm such misuse causes). This $10,000 per-day charge is in addition to any other rights or remedies that may be available to AmericanSitters.com under these Terms or applicable law. We also reserve the right to block users from certain IP addresses or device identifiers from accessing the Site, in our sole discretion, to protect the integrity of the platform.
4. Background and Verification Checks
4.1 Availability of Background Checks
AmericanSitters.com may offer to its registered users the ability to purchase or initiate one or more background check services ("Background Checks") through third-party consumer reporting agencies (e.g., a service like Checkr, ISB GLOBAL SERVICES, Certn). Background Checks are conducted by these third-party agencies at the request of a user (either a Care Seeker or a Care Provider) and require the consent of the individual being checked. Each Background Check requires payment of a separate fee by the user who initiates the check. Background Check reports are "consumer reports" under the federal Fair Credit Reporting Act (FCRA) and may include information about an individual's character, general reputation, personal characteristics, and mode of living (including, but not limited to, credit history, criminal records, driving records, employment or education verification, etc.). AmericanSitters.com will receive a copy of each Background Check report that you order or authorize through the Site.
If you are a Care Provider and you authorize a Background Check requested by a Care Seeker, the results of that Background Check will be made available to the Care Seeker who ordered it, regardless of the contents of the report.
If you are a Care Provider and you order a Background Check on yourself through the Site, we may indicate on your AmericanSitters.com profile that you have completed a background check. We will not share the actual results of the Background Check with any other user unless you specifically authorize us to do so. However, we reserve the right to disclose information from your Background Check in limited circumstances where it is reasonably necessary to help resolve a conflict, dispute, or claim involving you and another user, or to comply with applicable law, regulation, legal process, or governmental request.
4.2 Background Checks on Non-Registered Persons
Through certain parts of our Site, we may offer individuals who are not registered Care Seekers the opportunity to purchase a background check on a caregiver (for example, a nanny or sitter) who may not be registered on AmericanSitters.com. These checks are also performed by a third-party consumer reporting agency and are subject to the same FCRA requirements and consent of the person being checked. The terms of Section 4.1, 4.3, and 4.7 of these Terms apply to such checks as well, except that references to "Care Seeker" include any person ordering the check (even if not a registered user), and references to "Care Provider" include the person being checked (even if not registered on our Site). AmericanSitters.com does not receive or view the results of these off-platform background checks, even if the caregiver is not a registered user.
4.3 Responsibilities Under FCRA for Users of Background Checks
Any Background Check reports obtained through our Site must be used in compliance with the FCRA and applicable state laws. If you order or access a Background Check report on someone (for instance, a Care Seeker ordering a check on a Care Provider), you are deemed the "end user" of that consumer report under the FCRA, and you must agree to an End User Certification before the check is processed. This certification requires you to confirm you will comply with the FCRA and any relevant state laws and outlines key legal obligations. You can find a summary of your responsibilities as an end user of consumer reports on the U.S. Federal Trade Commission's website.
If a Background Check report you receive contains information that leads you to choose to take an "adverse action" (for example, deciding not to hire or engage someone) based on that information, you must follow certain procedures required by law. These procedures include, at a minimum, notifying the individual subject of the report of your decision, and informing them of their right to dispute the accuracy or completeness of the report with the consumer reporting agency. You may be required to provide what is called a "pre-adverse action" notice and then, if you proceed with the adverse action, a final adverse action notice to the individual, along with a copy of the report and a summary of their FCRA rights. Depending on the specific Background Check you ordered, AmericanSitters.com or the background check provider may offer a feature to assist you in carrying out these legal notification steps, but where such a feature is not available, you are responsible for ensuring all required notices are delivered. If the individual being checked disputes the accuracy of the report with the consumer reporting agency, you are required to suspend any hiring or engagement decision until the dispute is resolved.
4.4 Use of Background Checks by AmericanSitters.com
By registering as a Care Provider on our Site (and subject to your authorization as required by law), you acknowledge and agree that AmericanSitters.com may review and use any Background Check reports that you have authorized or ordered about yourself for the purpose of protecting the safety and integrity of our Site and its users. In certain cases (for example, for some Care Providers), this use could be considered for an "employment purpose" under the FCRA, in which case we will comply with any additional requirements imposed by law. AmericanSitters.com reserves the right to terminate your membership or access to the Site or Services based on information in a Background Check report, even if that information was later corrected or resolved. If we decide to terminate your use of the Site or Services due wholly or partly to information in a Background Check report, we will notify you and provide you with the name and contact information of the consumer reporting agency that provided the report, and a copy of the report if it hasn't already been made available to you. You acknowledge that AmericanSitters.com has no control over and no responsibility for the accuracy or reliability of the information in Background Check reports -- any disputes or inaccuracies in a report must be addressed by you with the issuing consumer reporting agency, not with AmericanSitters.com.
4.5 AmericanSitters.com Screening -- "Preliminary Membership Screens"
You understand and agree that AmericanSitters.com has the right, but not the obligation, to initiate its own periodic background screenings of users (both Care Seekers and Care Providers) by using a third-party consumer reporting agency, for the purpose of maintaining the safety and integrity of the Site and Services. These internal checks (sometimes called "Preliminary Membership Screens") may be performed when you register and at various times thereafter, especially if you engage in certain activities on the Site (such as contacting other members, posting a job, updating your profile, or ordering a Background Check). These internal screenings may also be considered "consumer reports" under the FCRA, and thus are subject to similar legal restrictions.
You agree that AmericanSitters.com may take action based on the results of these internal screenings, including suspension or termination of your account, if we determine, in our sole discretion, that you have violated any representation, warranty, or provision of these Terms or otherwise may pose a safety risk to our community. If we terminate your membership or access to the Site on the basis of information from an internal background report, we will notify you and provide the name and contact info of the agency that provided the report, and give you access to the report, unless you've already received it directly. Any inaccuracies in such a report must be taken up with the reporting agency; however, even if a report is corrected or updated, AmericanSitters.com is under no obligation to reinstate an account that was terminated in the interest of protecting our users.
BY AGREEING TO THESE TERMS, and, where applicable, providing any additional consent required, YOU GIVE AMERICANSITTERS.COM PERMISSION TO PERFORM THE INTERNAL BACKGROUND CHECKS described above. IF YOU DO NOT WANT THESE CHECKS TO OCCUR, YOU SHOULD NOT USE AMERICANSITTERS.COM.
4.6 Ongoing Verification
You authorize AmericanSitters.com to verify on an ongoing basis that the information you have provided during registration and your representations and warranties in Section 2 (Eligibility) remain true and accurate. For purposes of promoting site integrity and safety, AmericanSitters.com reserves the right (but is not obligated) to use third-party services to perform checks using a variety of sources and records, which may include criminal databases, sex offender registries, social media, terrorist watch lists, fraud watch lists, public records, and other data sources. If we find that any information you provided is inaccurate or that you no longer meet our eligibility criteria, we may suspend or terminate your membership in our sole discretion.
You acknowledge that AmericanSitters.com does not guarantee or warrant the accuracy or completeness of any information uncovered by these verification checks. We generally do not communicate the results of verification checks to any user or any third party (except as may be required for safety or legal reasons, such as to law enforcement, consistent with applicable law). BY AGREEING TO THESE TERMS, YOU CONSENT TO THESE VERIFICATION CHECKS. IF YOU DO NOT WANT US TO CONDUCT VERIFICATION CHECKS, DO NOT USE AMERICANSITTERS.COM.
4.7 Limitations of Background and Verification Checks; Release
Limitations in Certain States: Background Check services have inherent limitations. For example, in some states like Massachusetts and New Hampshire, criminal record searches included in our checks may be limited to certain courts (e.g., only the county's superior court and one district court) and may not cover all court records in those states. Moreover, there are various jurisdictional and reporting limitations; for instance, sex offender registry information and criminal record reporting vary by state, and some less serious offenses or older records may not be reported.
Other Limitations: Background Checks rely on information provided by the person being checked and on records available to the reporting agency. If an individual provides inaccurate information (such as an incorrect name or address), the background check might be run with wrong data and thus may miss records. Additionally, not all records are up-to-date; there can be delays, omissions, or errors in public record reporting. Therefore, even the most comprehensive Background Check we offer might not uncover every relevant record or incident for every person in every jurisdiction.
User's Use of Background Information & Release: If you choose to access, use, or share information from a Background Check, you agree to do so in accordance with applicable law and solely for permitted purposes. You also agree to release, indemnify and hold harmless AmericanSitters.com from any and all losses, liability, injuries, death, damage, or costs that result from your use of, reliance upon, or sharing of information in a Background Check report, including any inaccuracies or incompleteness in such information.
No Guarantee / No Duty: You expressly acknowledge that AmericanSitters.com is not obligated to perform Background Checks, internal checks, or verification checks on any user. To the extent we do perform such checks on certain users, the results of those checks are limited and should not be taken as complete, accurate, up-to-date or conclusive evidence of any user's character or eligibility. You remain responsible for exercising your own judgment in deciding whom to hire or with whom to engage.
5. Termination
AmericanSitters.com reserves the right, at its sole discretion, to immediately terminate or suspend your access to the Site or Services, or remove your profile and any content you have posted, at any time and for any reason or no reason, with or without notice. Without limiting the foregoing, we may terminate or suspend your account if we believe, in our sole discretion, that: you are ineligible to use the Services (e.g., you provided false eligibility information or no longer meet the requirements), you have violated these Terms or any applicable Additional Terms, you have engaged in fraudulent or inappropriate activity, or we determine that you are not suitable for the community or have misused the Site (for example, by misappropriating content or using the Site for a purpose not permitted). Upon any termination of your account, we have no obligation to provide you with copies of your content or data (to the extent such content is not already accessible to you). You will not be entitled to any refund of fees for the remaining term of a paid subscription if your account is terminated due to your breach of these Terms.
If your registration is terminated by us, you agree that AmericanSitters.com is not obligated to disclose the reason, if any, to you.
Notification to Others: You understand and agree that, following the termination of your account (regardless of who initiates or the reason), AmericanSitters.com reserves the right to send a notice to other users with whom you have corresponded to inform them that you are no longer active on the Site. Any decision by AmericanSitters.com to terminate your account and/or to notify other users of your termination is not intended to convey any defamatory or harmful information about you; it is simply a factual statement that your account is no longer active. We make no representation regarding your character or general reputation by making such termination or notification, and no inference about your character or fitness should be made from our decision to terminate an account.
6. Privacy
Our collection and use of your personal information is governed by our Privacy Policy. AmericanSitters.com uses the information you provide in accordance with our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we handle your information. By using the Site or Services, you acknowledge that you have read and agree to the Privacy Policy.
7. Links to External Sites

8. Payment and Refund Policy
8.1 Billing and Payment
Certain AmericanSitters.com Services or product offerings require payment. If you sign up for a paid membership subscription or any Service or product that involves a fee (recurring or one-time), you agree to pay AmericanSitters.com the fees disclosed for that subscription, Service, or product, and you authorize AmericanSitters.com (or our third-party payment processor) to charge your chosen payment method for the fees in accordance with the terms of the applicable plan or product. You are responsible for providing a valid payment method and keeping your payment information (e.g., credit card details) up-to-date. AmericanSitters.com reserves the right to correct any billing errors or mistakes, even if payment has already been requested or received.
If you purchase any one-time Services or products, you authorize AmericanSitters.com to charge your payment method for those purchases. If we already have your payment card on file (for example, from a prior subscription or purchase), you agree that we may charge that card for subsequent purchases you make.
Prices for Services and products are subject to change. AmericanSitters.com reserves the right to establish or modify fees for any Services or goods obtained through the Site at any time. We will use reasonable efforts to inform you of any new or changed fees, but you are responsible for any fees incurred under your account regardless of your awareness of the specific amounts. You are responsible for any applicable taxes (such as state or local sales taxes) on Services or purchases, unless otherwise stated.
If you are a Care Seeker who enrolls through an employer's benefit program that covers a paid membership: then your employer may be responsible for paying your subscription fee as long as that benefit is active, and you will not be charged for the subscription during that time.
8.2 Automatic Subscription Renewal and Cancellation
ALL PAID MEMBERSHIP SUBSCRIPTIONS AND OTHER RECURRING FEE-BASED SERVICES WILL CONTINUE INDEFINITELY UNTIL CANCELED BY YOU. This means that after you sign up, your subscription will automatically renew at the end of each billing period for an additional period of the same length, at the then-current subscription rate, unless and until you cancel. For example, if you purchase an annual subscription, at the end of the year your subscription will automatically renew for another year at the current annual rate. If you have selected a multi-month subscription that you pay monthly, and you decide to cancel before the multi-month term is over, you acknowledge that you will continue to be billed monthly for the subscription until the end of the committed term and remain responsible for those payments.
For Services or products with recurring fees other than membership (for instance, add-on features billed monthly), you will be charged the applicable fee at the interval disclosed at purchase, and it will continue until you cancel that Service or product.
AmericanSitters.com may, from time to time, change the price of subscriptions or recurring fees. If we do, we will provide notice of the change (for example, by email to the address in your account or by a notice on our Site) at least 30 days before the change takes effect for your next billing cycle. If you do not agree to the revised fee, you must cancel your subscription before the new rate takes effect. Your continued use of the Services after the effective date of the fee change will constitute your acceptance of the new fee. Non-material fee changes or clarifications may take effect immediately upon posting on our Site.
Cancellation: You may cancel your paid membership subscription at any time. To cancel, follow the instructions on the Site (for example, via your account purchases page). If you cancel a subscription, typically you will continue to have access to the paid features until the end of your current paid term (unless otherwise specified). Your subscription will not renew after your then-current term expires. However, if you agreed to any minimum commitment or special terms that involve a cancellation fee or early termination charge, your payment method will be charged any such fee upon cancellation, as disclosed to you when you signed up. We may, in our discretion, waive an early termination fee in certain cases, but we are not obligated to do so.
8.3 Installment Payment Options
From time to time, AmericanSitters.com may offer installment payment options for certain Services or subscription plans (for example, allowing you to pay the fee in multiple installments rather than one lump sum). If you choose an installment payment option, you agree to pay all installments as described at the time of purchase. Unless required by applicable law, you are committing to pay the full amount of the fee in the agreed-upon installments, even if you cancel the Service or subscription before completing all payments. In other words, if you cancel the service early, the remaining unpaid installments will still be due and charged, unless the law provides otherwise.
If we are unable to charge your payment method for any installment payment, we may pursue any remedies available to us, including suspending or terminating your subscription or account for non-payment. You agree that AmericanSitters.com and its affiliates shall have no liability to you for exercising any such remedies to collect payment.
(Please note: The installment payment option does not limit AmericanSitters.com's right to terminate your account at any time under Section 5 above, for violations of these Terms or other reasons.)
8.4 Free Trials
AmericanSitters.com may offer limited-time free trial subscriptions for certain Services from time to time. If you sign up on a free trial basis, you may have access to some or all features of the Service for the duration of the trial. Unless you cancel before the end of the free trial period, once the trial ends, you will be charged the then-current subscription fee for the Service and begin a paid subscription term. We will typically indicate the price and term that will apply after the trial when you first sign up.
If you do not wish to continue with the Service after the free trial, you must cancel the subscription before the trial period expires. If you are inadvertently charged because you did not timely cancel, you have 30 days from the date of the first charge to request a refund of that subscription fee. Upon proper cancellation and request within this 30-day window, we will refund the amount of the most recent subscription charge, provided you have not used the paid subscription after the trial ended (for instance, if you continued to log in and use member-only features after the trial).
8.5 Reward Points
On occasion, we may issue reward points to users as part of a membership perk or promotional program. Reward points can be redeemed on the Site for certain products or services as described in the specific promotion. Reward points have no cash value, are not redeemable or refundable for cash, and are non-transferable under any circumstances. The value and usage of reward points may be subject to caps or limitations stated on the Site or in the promotion. Points may only be redeemed in whole units, and multiple points can be used together for a single redemption if allowed. Points that are issued in connection with a premium subscription will typically be applied to eligible purchases automatically before other payment methods. Reward points are typically valid only for a limited time as specified, and any unused points may expire if not used within that period. Unused reward points are also forfeited if you fail to maintain any required membership status, or if your account is closed by you or terminated by us pursuant to these Terms.
8.6 Refund Policy
Except as expressly provided in these Terms or as stated at the time of purchase, all payments for subscriptions, services, or products made through the Site or Services are non-refundable. This means that we do not provide refunds or credits for any unused time or services if you decide to cancel a service or subscription before the end of its term, or for any unused features or partially used offerings. For example, if you purchase a three-month subscription and decide to stop using it after one month, you will not receive a refund for the remaining two months. Similarly, if your account is closed or terminated in the middle of a paid term (whether by you or by us, subject to these Terms), you will not be entitled to a refund for any unused portion of your subscription or service fee.
The only exceptions to this no-refund policy are those specifically described in these Terms (for instance, the free trial refund provision above) or as required by applicable law or stated on the Site for a particular product at the time of purchase. If a specific product or service explicitly offers a refund or money-back guarantee (e.g., a promotion that says "satisfaction guaranteed or your money back"), then the terms of that offer will apply. Otherwise, by using paid services, you acknowledge and agree that payments are non-refundable.
9. Release of Liability for User Conduct and Disputes
AmericanSitters.com is not an employer of Care Providers nor an agent of Care Seekers, and we do not supervise the interactions between users. By using this Site or our Services, you hereby acknowledge and agree to the following release:
Interactions with Other Users: You release and hold harmless AmericanSitters.com and its affiliates (and their officers, directors, employees, shareholders, agents, partners, licensors, etc.) from any and all claims or controversies arising out of any interaction, communication, relationship or dispute between you and any other user(s) of the Site or Services. This includes interactions between any Care Seeker and Care Provider (or between you and any other user), whether online or offline, and includes any acts or omissions of any Care Seeker or Care Provider. (The only exclusion to this blanket release is if a Care Provider is expressly employed by AmericanSitters.com or one of our affiliates to provide a specific service, in which case that scenario would be governed by separate terms --- however, at present, AmericanSitters.com does not employ Care Providers directly for the standard services on the platform.)
Third-Party Content or Services: You also release and hold harmless AmericanSitters.com and its affiliates from any and all liability arising from or related to any information, advice, services, or content provided by any third party (including any Care Seeker or Care Provider) that is accessed through the Site or Services. This means, for example, if you receive advice or guidance from another user or use services that a user offers outside of our platform, you cannot hold AmericanSitters.com responsible for the outcome.
Disclaimer of Warranties for User Conduct: AmericanSitters.com expressly disclaims any liability whatsoever for any damages, suits, claims, or controversies that have arisen or may arise out of or in connection with any user's conduct or interactions, whether such issues are known or unknown, foreseeable or unforeseeable. You agree that by using the Site, you assume all risk of harm or injury arising from any relationship or interaction you have with other users.
10. Age Restrictions
The Site and Services are intended for use by individuals 18 years of age or older. AmericanSitters.com will not knowingly permit anyone under 18 to register or use the Services. If we become aware that a user is under 18, we will terminate that user's access immediately. By using the Site, you represent that you meet the age requirement. Parents or guardians cannot register on behalf of minors. (Note: Certain exceptions may apply for minors receiving services with parental supervision, but the account holder seeking or offering care must be an adult.)
11. Disclaimers; Limitations of Liability; Waivers; Indemnification
11.1 No Warranty
Use at Your Own Risk: The information and materials on the AmericanSitters.com Site are provided on an "as is" and "as available" basis. AmericanSitters.com makes no representations or warranties of any kind, express or implied, as to the accuracy, adequacy, or completeness of any information or content on the Site or provided through the Services. We do not warrant that the Site or Services will meet your needs or expectations, or that they will be secure, error-free, uninterrupted, always available, or free of viruses or other harmful components. To the maximum extent permitted by law, AmericanSitters.com disclaims all warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or any warranties arising from course of dealing or usage of trade.
Content Provided by Others: Opinions, advice, statements, offers, or other information or content made available by users or third parties (i.e., not directly by AmericanSitters.com) are those of their respective authors, not AmericanSitters.com, and should not necessarily be relied upon. Such authors are solely responsible for their content. AmericanSitters.com does not endorse or guarantee the accuracy or reliability of any content posted by third parties on the Site, including any advice or information given by Care Providers or Care Seekers.
No Guarantee of Suitability: AmericanSitters.com makes no warranty or representation regarding the suitability, ability, or willingness of any particular Care Provider to provide services, or of any Care Seeker to hire or pay for services. We do not guarantee that any user is a proper match or fit for any other user. Any agreements you enter with other users are solely between you and that user.
Corporate/Enterprise Use: If you are accessing the Site as a corporate Care Seeker (for instance, a company looking for child care for its employees), any information on the Site is provided for your internal use only. Such information may be proprietary to the corporate user, to AmericanSitters.com, or to our information providers, and is provided "as is" without warranty. It may not be copied or redistributed for any reason. In no event will AmericanSitters.com or our information providers be liable for any use of such information by you or your organization. You must ensure that your use of the information complies with all applicable laws and regulations.
11.2 Assumption of Risk
Inherent Risks: You acknowledge that finding care or care-related jobs through an online platform involves inherent risks. AmericanSitters.com does not provide professional training, supervision, or monitoring of Care Providers or Care Seekers. We cannot guarantee that every interaction you have with others through our platform will be safe or meet your expectations. You agree to assume all risks associated with using the Site and Services and with any interactions (online or offline) with other users of the Site or Services. This includes, without limitation, the risks of dealing with strangers, underage persons, or people acting under false pretenses, and the risk of physical or emotional harm or injury. You should be aware that there are also risks of dealing with minors or people acting for a minor.
No Reliance on Screening: You agree not to rely solely on any screening processes or background checks that AmericanSitters.com performs on users, or any safety tools we provide. Those measures are limited (see Section 4 above) and are not a guarantee of any user's character or actions. You agree to take all necessary precautions in all interactions with other users, particularly if meeting in person. For example, you should review our safety tips, meet in a public place first when possible, and let someone know where you are going. You are solely responsible for your safety in your dealings with other users.
11.3 Limitations of Liability
Incidental and Consequential Damages: To the fullest extent permitted by law, in no event will AmericanSitters.com be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Site or Services. This limitation applies to any damages for lost profits, lost data, loss of privacy, or any other intangible losses, even if we have been advised of the possibility of such damages. It also includes damages relating to any information or advice received through the Site or Services, any content removed from the Site, any email or communications sent to you by the Site or other users, any interruption, inaccuracy, error or omission of the Site's content, and any virus or failure of performance (whether caused by negligence, breach of contract, tort, or any other legal theory).
Aggregate Liability Cap: Under no circumstances will AmericanSitters.com's total liability to you for any and all claims arising out of or related to this Agreement, the Site, or the Services exceed the amount paid by you to AmericanSitters.com, if any, in the twelve (12) months prior to the event giving rise to liability, or $25, whichever is greater. If you have not paid any amount to AmericanSitters.com for the use of the Site or Services, AmericanSitters.com's maximum total liability for all claims will be $25. This limitation is cumulative and not per-incident.
No Liability for User Conduct: AmericanSitters.com is not liable for the actions or omissions of any user, whether online or offline. This means that we will not be held responsible for any harm, injury, or damage resulting from the behavior of any Care Seeker, Care Provider, or other person you encounter through our platform, including situations where a user provides false information or attempts to defraud or harm you. You agree that any claims arising out of interactions with other users (such as personal injuries or property damage) are solely between you and the user(s) involved, and not against AmericanSitters.com.
No Professional Advice Liability: Any information or content that may be posted on the Site (for example, parenting tips, elder care advice, etc.) is for informational purposes only and is not intended to substitute for professional advice (medical, legal, financial, or otherwise). AmericanSitters.com expressly disclaims any liability for any actions taken by any person based on information or content available on the Site or through the Services. If you have specific concerns that require professional guidance, you should consult a qualified professional; you agree that you will not hold AmericanSitters.com responsible for your decision to rely on information you obtained through our Services.
11.4 Indemnification
You agree to indemnify, defend, and hold harmless AmericanSitters.com and its affiliates (and their officers, directors, employees, agents, and representatives) from and against any and all claims, demands, losses, liabilities, expenses, damages, and costs (including reasonable attorneys' fees and court costs) that arise from or relate to any third-party claim or allegation arising out of or relating to: (i) any content or materials you submit, post, or transmit through the Site; (ii) your use of the Site or Services in violation of these Terms or of any applicable law; or (iii) any relationship, arrangement, or dispute between you and any other user (including any contract or engagement formed between a Care Seeker and Care Provider).
Without limiting the generality of the foregoing, you agree to indemnify and hold AmericanSitters.com (and its affiliates) harmless from any claims arising out of any of your acts or omissions, your breach of these Terms, disputes between you and any other user, your use or misuse of the Service or any content obtained through it, your violation of any law or regulation, any inaccurate or misleading information you provide (including information in your profile or provided for background checks), any misrepresentations you make (including about your identity or age), your use of any third-party services or content, any content you post and activities related to it, your use of any information in a consumer report (background check) (including any misuse in violation of the FCRA), your use of our payment processing service, your use of any ancillary support services we offer, your conduct in connection with the Services or any connections made through the Service, and/or any services or arrangements you enter into based on information obtained through our Site or Services.
You agree to cooperate fully with AmericanSitters.com in the defense of any claim for which you are obligated to indemnify us, and to provide any assistance we reasonably request. AmericanSitters.com reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you (without relieving you of your indemnity obligations), and you agree not to settle any such matter without the prior written consent of AmericanSitters.com.
12. Copyright Notices and Complaints (DMCA Policy)
AmericanSitters.com respects intellectual property rights and expects users to do the same. It is our policy to respond to clear notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act (DMCA). If you believe in good faith that any material available on the Site infringes your copyright, you (or your agent) may send us a written notice requesting removal of the material or disabling access to it. The notice must include the following information:
- Identification of the copyrighted work that you claim has been infringed. Please provide a description of the work and, if available, a copy or the URL of an authorized version of the work.
- Identification of the allegedly infringing material and its location on the Site. Please provide reasonably sufficient detail (such as a direct URL to the material on our Site) so that we can locate it.
- Your contact information -- including your name, mailing address, telephone number, and, if available, email address.
- A statement that you have a good-faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in your notice is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner's behalf.

Upon receipt of a valid DMCA notice, we will expeditiously remove or disable access to the allegedly infringing content and take reasonable steps to notify the user who posted it (so that they may file a counter-notification if appropriate).

13. Dispute Resolution; Binding Arbitration
Please read this section carefully. It requires you to arbitrate disputes with AmericanSitters.com and limits the ways you can seek relief from us, including waiving your right to bring or participate in a class action. You have the right to opt out of this arbitration agreement as explained below.
(a) No Representative Actions. You and AmericanSitters.com agree that any dispute arising out of or related to these Terms or our Services is personal to you and AmericanSitters.com, and that such dispute will be resolved solely through individual action, and not as a class action, class arbitration, or any other type of representative proceeding.
(b) Arbitration of Disputes. Except for small claims matters that qualify to be brought in small claims court in your country of residence, or disputes where either party seeks injunctive or equitable relief for intellectual property infringement (which can be brought in court), all disputes, claims, or controversies arising out of or relating to these Terms or the use of the Site or Services (collectively, "Disputes") shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with the HKIAC Administered Arbitration Rules in force at the time. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English.
At AmericanSitters.com's sole discretion, disputes involving U.S. consumers may instead be referred to arbitration before the American Arbitration Association (AAA) under its Consumer Arbitration Rules. In such case, the arbitration shall take place in the State of Texas.
(c) Arbitrator's Authority. The arbitrator shall have the authority to grant any remedy that would otherwise be available in court, provided that the arbitrator's authority is limited to individual disputes -- the arbitrator can award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party's individual claim. The arbitrator may not preside over any form of class or representative proceeding or consolidate the claims of multiple individuals into one arbitration.
(d) Confidentiality. The arbitration and any related proceedings will be confidential and held in private, and neither you nor AmericanSitters.com will disclose any facts about the case, the arbitration proceedings, or the award, except as may be required by law or to enforce the award.
(e) One-Year Limit. Any Dispute must be filed within one (1) year after the date the claim arose; otherwise, it is permanently barred and will be dismissed.
(f) Opt-Out Right. You may opt out of this arbitration agreement within thirty (30) days of first accepting these Terms by sending written notice to AmericanSitters.com, Attn: Legal Department -- Arbitration Opt-Out, at the address provided in Section 17. If you opt out, disputes shall be resolved exclusively in the courts of Hong Kong.
(g) Severability of Arbitration Terms. If any portion of this arbitration agreement is found to be unenforceable or unlawful for any reason, the court shall sever that portion from this Section 13. Such severance will not affect the enforceability of the remaining provisions of the arbitration agreement.
14. Governing Law
This Agreement, and any claim or dispute arising out of or relating to it or your use of the Site or Services, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to its conflict of laws principles. Subject to the arbitration provisions above, you agree that any claims not subject to arbitration will be exclusively brought in the courts of Hong Kong, and you and AmericanSitters.com each consent to the exercise of personal jurisdiction by and exclusive venue in such courts.
15. Consent to Electronic Communications
Electronic Communications: By using the Site or Services, you agree that AmericanSitters.com can communicate with you electronically (for example, by email, SMS text message, in-app push notifications, or through the Site) for all operational and administrative purposes. You consent to receive electronic communications from us, and you agree that all notices, agreements, disclosures, and other communications we send you electronically satisfy any legal requirement that such communications be in writing.
If you provide us with a mobile phone number, you consent to receive text message communications from AmericanSitters.com at that number for account verification, notifications, and other Service-related purposes. We do not charge a fee to send you texts, but you are responsible for any message or data rates imposed by your mobile carrier. You can opt out of text messaging at any time by following the instructions provided (for example, replying "STOP" to a message, or adjusting your settings).
If you use our mobile application, we may ask your permission to send you push notifications or alerts on your device. If you consent, you can later disable or adjust these notifications through your mobile device settings if you no longer wish to receive them.
Please ensure that your email address and other contact information in your account are current, so that you can receive communications from us. You agree that any notices or other communications we send to the email or physical address on file for your account will be deemed effectively delivered to you.
16. Miscellaneous
16.1 No Joint Venture or Employment Relationship
Nothing in these Terms shall be construed as making you and AmericanSitters.com partners, joint venturers, co-employers, or agents of each other. You have no authority to bind AmericanSitters.com in any respect, and AmericanSitters.com does not control, or have the right to control, your independent work or the services you provide to any third parties. AmericanSitters.com is not an employment agency or employer with respect to your use of the Site, and no employment, partnership, or joint venture relationship is created by your acceptance of these Terms or your use of the Services.
16.2 Severability
Each provision of these Terms is intended to be interpreted in a manner that makes it valid and enforceable. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified by the adjudicating authority to the minimum extent necessary to render it valid and enforceable, reflecting the parties' intent as closely as possible. If such modification is not possible, that provision shall be deemed severed (removed) from these Terms. All remaining provisions of these Terms will remain in full force and effect and shall not be affected by the severed provision.
16.3 Third-Party Beneficiaries
Certain provisions of these Terms are for the benefit of AmericanSitters.com's affiliates, officers, directors, employees, agents, and other associated parties. You agree that AmericanSitters.com's Affiliates (as defined in Section 9 or elsewhere above) are intended third-party beneficiaries of any protections (such as disclaimers, releases, and indemnification) provided to AmericanSitters.com under these Terms, and those Affiliates have the right to enforce those provisions directly against you.
Except as expressly stated in the preceding paragraph, nothing in these Terms is intended to confer third-party beneficiary rights on any person or entity.
16.4 Entire Agreement
These Terms, together with any additional terms or agreements that apply to you (for example, any Additional Terms for specific services, or any separate agreements AmericanSitters.com has with a Company Provider or other partner), constitute the entire agreement between you and AmericanSitters.com regarding the use of the Site and Services. They supersede all prior or contemporaneous understandings or agreements, whether written or oral, on the subject matter. You acknowledge that you are not relying on any representation or promise that is not expressly stated in these Terms or in the documents incorporated by reference.
If there is any conflict between these Terms and any additional terms applicable to a particular feature or service, the additional terms will control for that feature or service to the extent of the conflict.
16.5 No Waiver
AmericanSitters.com's failure to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision. Likewise, the waiver of any breach or default under these Terms will not constitute a waiver of any subsequent breach or default. No waiver by any party of any provision of these Terms will be effective unless in writing and signed by an authorized representative of that party.
16.6 Assignment
You may not assign or transfer these Terms, or any rights or obligations herein, without AmericanSitters.com's prior written consent. Any attempted assignment by you in violation of this provision is null and void. AmericanSitters.com may freely assign or transfer its rights and obligations under these Terms as part of a merger, acquisition, reorganization, or sale of assets, or by operation of law or otherwise. These Terms will inure to the benefit of and be binding upon the parties and their respective permitted successors and assigns.
16.7 Headings and Interpretation
Headings of sections (like "No Warranty" or "Assumption of Risk") are for convenience only and shall not affect the interpretation of these Terms. Unless the context requires otherwise, words in the singular include the plural and vice versa. The words "include" or "including" mean "including without limitation."
16.8 Survival
